1.1 These Terms constitute a legally binding agreement between you and Coohom (operated by COOHOM INC. ) governing your use of Coohom’s services.
1.2 When utilizing specific Coohom’s services, you acknowledge that such services may be governed by supplemental terms and associated business rules, which may be published through various channels including website announcements, notifications, messages, emails, and help center documentation. These supplemental terms, upon official release, shall automatically constitute an integral part of these Terms and are binding upon you. Your acceptance of any such business rules or supplemental terms shall constitute full acceptance of these Terms. The invalidity of any provision within these supplemental terms shall not affect the validity of the remaining provisions or the enforceability of the supplemental terms themselves, which shall remain in full force and effect.
1.3 By accessing our services, you agree to these Terms.
2.1 To access our services, we may ask you to create an account. You agree to provide correct, current, and complete account information and allow us to use it to communicate with you about our services. Our communications to you using your account information will satisfy any requirements for legal notices.
2.2 You are responsible for all activities that occur under your account. Please carefully safeguard your account information, including but not limited to your username, password, verification codes, and other credentials. Your account is strictly for your personal use and may not be transferred, traded, donated, leased, or loaned to others. Should we determine that your account has been transferred, traded, donated, leased, or loaned, we reserve the right to suspend or terminate your account immediately without prior notice, and shall bear no legal liability whatsoever. You will be solely responsible for all resulting losses, including but not limited to service interruptions and the deletion of user data and content.
Coohom offers comprehensive design solutions, including online design tools, home design transaction information services, transaction facilitation, rendering services, and online design training to you. Specific features and offerings are subject to the services provided by Coohom at the time of use.
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal data.
5.1 You undertake not to use Coohom for any illegal purpose or in any illegal way, undertake to comply with all applicable laws, and comply with all separate agreements, rules and guides related to Coohom.
5.2 You agree and warrant that Coohom will not be used to facilitate or assist the following acts, nor may it be produced, uploaded, stored, distributed or disseminated in connection with the following acts:
5.3 You may not access or use, or help another person to access or use, our services in the following ways:
5.4 By using our AI services, you expressly represent, warrant and covenant that: (i) all submitted content shall not infringe any third-party rights including intellectual property rights, publicity rights, personality rights, privacy rights, data protection rights or other legally protected interests; (ii) such content shall not contain classified information, trade secrets, sensitive data or any material potentially compromising national security or public welfare; (iii) you shall not intentionally direct the AI system to produce output violating any legal rights; and (iv) you accept full responsibility for all liabilities, damages and legal consequences arising from any breach hereof, including indemnification obligations for all related claims, losses and expenses. This warranty survives termination of service usage.
6.1 You may stop accessing our services at any time. We may suspend or terminate your access to the services at any time without notice to you if we believe that you have breached these Terms, or if we must do so in order to comply with law. If we terminate your access to the services due to your violation of these Terms and you have a Subscription, you will not be entitled to any refund.
6.2 Upon termination of these Terms or your access to the services, we may at our option delete any materials or other data associated with your account.
7.1 You acknowledge that Coohom retains exclusive ownership of all rights, title, and interest—including intellectual property rights—in and to its proprietary technology. This encompasses, but is not limited to, all software, algorithms, user interfaces, trade secrets, methodologies, designs, inventions, original works of authorship, and any related tangible or intangible materials or information. Nothing in these Terms limits Coohom’s right to utilize, develop, or commercialize any concepts, ideas, techniques, or know-how associated with its technology or derived from its performance under these Terms. Except as explicitly stated herein, no licenses or rights to Coohom’s technology are granted to users, and all such rights are expressly reserved.
7.2 By uploading any models, floor plans, decoration plans, design specifications, tutorials, renderings, text or other materials ("Content") to Coohom, you expressly represent and warrant that you either own all rights, title and interest (including intellectual property rights) in such Content or have obtained all necessary legal authorizations for its submission and use on the platform. You further warrant that your Content does not and will not infringe upon any third-party rights, including intellectual property rights, trade secrets or confidentiality obligations, nor violate any applicable laws or regulations. In the event your Content infringes any third-party rights or causes damages to Coohom, you agree to assume full liability and shall indemnify Coohom for all resulting losses, damages, costs and expenses (including reasonable attorneys' fees) incurred in connection with such infringement. This indemnification obligation survives termination of your use of the services.
7.3 You expressly acknowledge and agree that AI-generated outputs may contain inaccuracies or errors, and therefore covenant not to use such content for commercial purposes without independent verification, while simultaneously granting Coohom a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, analyze, and otherwise exploit your generated content solely for the purposes of service maintenance, improvement, quality assurance, and AI model training, with all such rights surviving termination of your account or use of the services.
7.4 By using the service, you irrevocably permit Coohom to employ Content you uploaded and AI-generated outputs for platform improvement, machine learning and model training purposes.
8.1 While we are committed to delivering high-quality services, please note that AI technology remains in continuous development. All services, outputs, and actions are provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law. You are expected to use the services scientifically and rationally, and to independently evaluate the output content generated by AI. You agree to bear all risks associated with the use of AI and any potential damages that may arise from such risks. We expressly disclaim all warranties, including but not limited to:
8.2 To the maximum extent allowed by law, neither we nor our affiliates, investors, directors, officers, employees, or agents shall be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages—whether in contract, tort, or otherwise—arising from or related to the use of our services, materials, or these Terms. To the fullest extent permissible under applicable law, Coohom’s total aggregate liability to you for all damages, losses and causes of action arising out of or in any way related to the services, the materials, the actions, or these Terms, whether in contract, tort (including negligence) or otherwise, will not exceed the greater of the amount you paid to us for access to or use of the services (if any) in the six months preceding the date such damages, losses, and causes of action first arose, and $100. the foregoing limitations are essential to these terms, and we would not offer the services to you under these Terms without these limitations.
8.3 You agree to indemnify and hold harmless Coohom from and against any and all liabilities, claims, damages, expenses (including reasonable attorneys’ fees and costs), and other losses arising out of or related to your breach or alleged breach of these terms; your access to, use of, or alleged use of the services, the materials, or the actions; your feedback; any products or services that you develop, offer, or otherwise make available using or otherwise in connection with the services; your violation of applicable law or any third-party right; and any actual or alleged fraud, intentional misconduct, gross negligence, or criminal acts committed by you or your employees or agents. We reserve the right to engage separate counsel and participate in or assume the exclusive defense and control of any matter otherwise subject to indemnification by you hereunder, in which case you agree to cooperate with us and such separate counsel as we reasonably request.
We may revise and update these Terms at our discretion. Some examples of times, we may update these Terms include (1) to reflect changes in our services, like when we add or remove features or services, or update our pricing, (2) for security or legal reasons, or (3) to promote safety or prevent abuse. If you continue to access the Services after we post the updated Terms on Coohom’s website or otherwise give you notice of Terms changes, then you agree to the updated Terms. If you do not accept the updated Terms, you must stop using our services.
These Terms will be governed by, and construed and interpreted in accordance with, the laws of the State of California without giving effect to conflict of law principles. You agree that any disputes arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in San Francisco, California, and you submit to the personal and exclusive jurisdiction of those courts. By accessing our services, you waive any claims that may arise under the laws of other jurisdictions.
